
AI Provisions in Tech Contracts: A New Era of Regulatory Scrutiny

As artificial intelligence moves from experimental to essential, lawmakers across the globe are solidifying its status as a regulated technology. In response, companies must evolve their contracts to meet a growing web of legal expectations around fairness, transparency, and accountability in AI deployment.
Artificial intelligence has entered a new phase, one defined not only by innovation but by regulatory expectation. As governments worldwide finalize AI legislation, contractual language is becoming one of the primary mechanisms through which compliance, accountability, and risk allocation are enforced. Much like how the SEC’s 2026 priorities foreshadow tighter oversight in financial markets, 2025 marked a turning point for AI governance across major jurisdictions.
Regulators now operate from the shared understanding that AI is no longer an experimental technology. It is a regulated class of systems that requires explicit duties, clear documentation, and structured collaboration across providers and deployers. For companies integrating AI into products and operations, technology contracts must evolve accordingly.
What the 2025 AI Regulations Highlight
Developer and Deployer Responsibilities
AI laws in the United States, European Union, United Kingdom, and China increasingly distinguish between developers (providers) and deployers (users). These designations matter because the legal obligations diverge sharply.
For example, the EU AI Act defines “providers” as the parties placing AI systems on the market and assigns them responsibility for conformity assessments, technical documentation, logging, transparency, and post-market monitoring. Deployers bear separate obligations, including human oversight and data governance appropriate to the system’s risk category (EU AI Act, Arts. 3–29).
State-level U.S. laws are moving in the same direction. Colorado’s AI Act requires developers to disclose system details, risk mitigation measures, and intended uses, while deployers must implement risk-management practices aligned with NIST AI RMF standards (Colorado SB 205, 2024). China’s administrative measures likewise require developers to file algorithms and content models with regulators, while deployers must conduct ongoing monitoring and implement content labeling (China Deep Synthesis Provisions, 2023; China Algorithmic Recommendation Provisions, 2022).
Contracts must now define roles precisely, as the allocation of legal responsibility depends on who is performing which function in the AI lifecycle.
Warranties, Risk Allocation, and Use Restrictions
Regulators increasingly expect AI contracts to include explicit representations and warranties regarding lawful data sourcing, appropriate model training practices, and adherence to risk frameworks.
For high-risk systems such as employment screening, credit scoring, biometric analysis, or healthcare tools contracts should clarify:
• Permissible and prohibited uses
• Required data quality and model lineage
• Fairness expectations and bias testing requirements
• Required adherence to frameworks such as NIST AI RMF 1.0 or ISO/IEC 42001 (AI Management Systems)
The EU AI Act requires providers to ensure their systems meet strict specifications before deployment, including human oversight and data governance requirements (EU AI Act, Arts. 9–15). The U.S. FTC has emphasized that companies remain liable for unfair or deceptive AI claims, including the misuse of training data or unsubstantiated performance claims (FTC Enforcement Policy Statement on AI, 2022–2024).
Bias Mitigation and Auditing Rights
Regulations in the U.S. and EU increasingly center on algorithmic fairness. Colorado’s AI Act requires companies to conduct impact assessments for high-risk systems and notify the Attorney General if discriminatory outcomes occur (Colorado SB 205, Sec. 6–9). The EU AI Act mandates continuous monitoring and technical logging for high-risk AI, enabling traceability and error detection.
As a result, AI contracts now frequently include:
• Audit rights for customers
• Obligations to disclose system limitations and known biases
• Requirements to cooperate in monitoring or reporting duties
• Responsibilities for correcting discriminatory outputs
These terms create shared accountability and allow customers to validate compliance independently.
Transparency and Labeling Obligations
Transparency has emerged as a universal regulatory theme. California’s 2026 AI Transparency Act will require businesses to disclose AI use in consumer interactions and label AI-generated content in certain contexts (California AB 2012, 2026 effective date). The EU AI Act similarly requires clear disclosure when users interact with chatbots, emotion-recognition systems, or systems generating synthetic content (EU AI Act, Art. 52).
Contracts must identify:
• Who is responsible for labeling AI-generated content
• How labeling must be implemented (visible, invisible, or both)
• Responsibilities for maintaining content authenticity and preventing deepfake misuse
• Notification obligations for users and end consumers
Regulatory Cooperation and Change Clauses
AI regulation remains fluid, with new rules, guidance, and enforcement priorities emerging at rapid speed. Contracts should reflect ongoing compliance obligations by including:
• Cooperation clauses for responding to audits or regulatory inquiries
• Provisions requiring updated documentation as laws evolve
• Penalty mitigation frameworks that incentivize adherence to governance standards
Texas’s AI law, for example, provides safe harbors or reduced penalties for companies that adopt recognized risk-management frameworks (Texas HB 2060, 2023). These frameworks can be referenced contractually to create a structured compliance pathway.
Global Regulatory Snapshots
United States
The U.S. landscape is fragmented across states. Colorado’s risk-based model, California’s disclosure rules, Texas’s governance requirements, and emerging proposals at the federal level mean companies must tailor contractual obligations by jurisdiction and use case. High-risk categories—including employment and credit—face heightened obligations.
European Union
The EU AI Act remains the most comprehensive AI regulation globally. High-risk AI providers must perform conformity assessments, maintain technical documentation, ensure human oversight, and implement incident reporting. Contracts must designate responsibility between providers and deployers (EU AI Act, Arts. 16–29).
China
China’s algorithmic regulations require filing, authorization, and labeling across many AI systems. Providers must follow content governance rules, register recommendation algorithms, and apply synthetic content labeling (Deep Synthesis Provisions, 2023). Contracts operating in or touching China should include obligations around government filings, user verification, logging, and indemnification for regulatory breaches.
Why This Matters
The global regulatory shift reflects a common reality: AI compliance can no longer be informal or reactive. Technology contracts are becoming a first line of defense, memorializing roles, allocating risk, defining safety expectations, and documenting governance measures. Companies that adopt forward-looking AI provisions will be better prepared for enforcement, build user trust, and demonstrate leadership in responsible innovation.
Moving Toward AI-Ready Legal Infrastructure
Like financial markets adapting to new reporting frameworks, AI-intensive industries must build contract terms that address transparency, safety, fairness, and regulatory adaptability. As international alignment around AI risk continues to solidify, contract templates must evolve into dynamic instruments that reflect modern compliance realities.
The AI contracts of 2026 and beyond will not be defined by regulatory perfection but by companies’ willingness to anticipate risk, clarify responsibilities, and embrace governance as a competitive advantage.
